Coinbase Global, Inc.'s annual report for the year ended 31 December 2025 describes Brian Armstrong as "our co-founder and Chief Executive Officer". The same filing sets out the company he built the corporate structure of: Coinbase, Inc. was incorporated in Delaware in May 2012, Coinbase Global, Inc. was formed above it in January 2014 as the holding company, and the holding company converted to a Texas corporation on 15 December 2025.

The filing also explains what his role means in governance terms. Coinbase has two classes of stock, and Class B carries twenty votes per share against Class A's one. Armstrong and the independent trustee of trusts he established are together able to exercise voting rights over a majority of the voting power of the company's outstanding capital stock, an arrangement the filing lists among its own risk factors. Coinbase also names his account on X as one of the channels through which it discloses material information.
