What it is
New York Digital Investment Group LLC is a Delaware limited liability company. Its Form D filed with the Securities and Exchange Commission in December 2021 gives 2017 as the year of organisation and 510 Madison Avenue in New York as its principal place of business. Ross Stevens is named there as an executive officer and director, and the company's own about page says he founded NYDIG in 2017 and is also founder and chief executive of its parent, Stone Ridge Holdings Group. Tejas Shah is chief executive of NYDIG.
That same Form D reports a total offering amount of $1,017,253,170, of which $767,253,170 had been sold to 108 investors, with a first sale on 5 March 2021. The company noted that roughly $517 million of that was convertible notes due to convert into LLC units. That is the figure as filed at the time, not a current one.
Which entity does what
NYDIG is unusually clear about this, and the distinction is the useful part. Its own licences page says that New York Digital Investment Group LLC "is not overseen by any regulator", and that no NYDIG entity is registered with the SEC, FINRA, NFA or CFTC. The regulated work sits in two subsidiaries. NYDIG Trust Company LLC is chartered as a limited purpose trust company by the New York Department of Financial Services and authorised for virtual currency business activity. NYDIG Execution LLC holds a BitLicense and a New York money transmitter licence. The department's licensee list dates both to November 2018. Both are registered with FinCEN as money services businesses and hold money transmitter licences in most US states.
The firm now describes two franchises: bitcoin financial infrastructure, covering custody, execution, financing and corporate treasury services, and a power and mining business built around Stone Ridge's natural gas production. Listing here is not endorsement.
